The Corporate Governance Guidelines describe important policies, including director qualifications, responsibilities, compensation, orientation, continuing education, access to Downey personnel, CEO evaluation, management succession, board committees and board evaluation.
The Audit Committee, the Compensation Committee and the Nominating and Corporate Governance Committee have written charters which describe each committee’s purpose, duties and responsibilities. The members of each committee are listed under Committee Composition.
